Terms of Service

1. Service Description

NoctoDesk provides AI-powered front desk assistant services including automated customer communication, reservation management, and lead capture for businesses (“Clients”). The service includes initial setup, deployment, ongoing hosting, AI maintenance, and performance reporting.

2. Pricing & Payment

Service fees consist of a one-time setup fee and a monthly retainer, as specified in your service agreement. The monthly retainer is billed on the first of each month. Payment is due within 14 days of invoice. Late payments may result in service suspension after written notice.

3. Service Level

We target 99.5% uptime for the AI chat widget. Scheduled maintenance windows will be communicated at least 48 hours in advance. We are not liable for downtime caused by third-party services, client website issues, or force majeure events.

4. Client Responsibilities

Clients are responsible for: (a) providing accurate business information for AI training, (b) promptly notifying NoctoDesk of changes to hours, menus, services, or policies, (c) responding to leads and inquiries flagged by the AI, and (d) maintaining a valid payment method.

5. Intellectual Property

NoctoDesk retains ownership of the AI technology, software, and platform. Clients retain ownership of their business data and content. The AI assistant configuration created for a client is licensed for their use during the active service period.

6. Limitation of Liability

NoctoDesk's total liability is limited to the fees paid by the client in the 3 months preceding the claim. We are not liable for lost revenue, lost bookings, or indirect damages arising from AI responses. While we strive for accuracy, AI-generated responses may occasionally contain errors.

7. Termination

Either party may terminate the service with 30 days' written notice. Upon termination: (a) the chat widget will be deactivated, (b) client data will be available for export for 30 days, (c) no refund is issued for the current month's retainer, and (d) the one-time setup fee is non-refundable.

8. Satisfaction Guarantee

New clients receive a 30-day satisfaction guarantee. If you are not satisfied with the service within the first 30 days, we will refund the monthly retainer (the setup fee covers the custom build and is non-refundable).

9. Modifications

We may update these terms from time to time. Clients will be notified of material changes at least 30 days in advance. Continued use of the service constitutes acceptance of updated terms.
